en | messages | 1 | cgv | <h2><strong>Preamble</strong></h2> <p>O'TACOS CORPORATION and O'TACOS INTERNATIONAL <a href="#sdfootnote1sym" name="sdfootnote1anc">1</a> ('O'TACOS’) develop, animate and operate a fast-food network, respectively<a href="#sdfootnote2sym" name="sdfootnote2anc">2</a> in France and outside France, focused on the sale of tacos, salted preparations made from “Mexican tacos” consisting of a tortilla unfolded or rolled over itself, topped with meat(s), fries and cheese sauce, as part of a franchise or license system, under the brand name O'TACOS.</p> <p>O'TACOS provides Users with a <em>Click and Collect</em> Service and an O'TACOS Loyalty Program, accessible <em>via</em> the App or via the Website accessible via the address: https://o-tacos.com/en/, which allows Users to:</p> <ul> <li> <p>Order online, in the O'TACOS Restaurant of their choice, the products referenced on the Application and the Website, and withdraw their order directly from the selected O'TACOS Restaurant, for on-site or take-out consumption.</p> </li> <li> <p><a name="_Hlk64292631"></a> To accumulate loyalty points with each purchase made in Restaurants (at checkout, or, if necessary, <em>via</em> kiosks or drive-in service, excluding delivery providers), or via<em> </em>the Application and/or the Website, loyalty points that entitle them to Rewards accessible at the restaurant checkout, in accordance with the article <em>"PRINCIPAL SERVICES ACCESSIBLE VIA THE APPLICATION OR THE WEBSITE”.</em></p> </li> </ul> <h2><strong>ARTICLE 1 - OBJECT</strong></h2> <p>The purpose of these General Sales Terms & Conditions (GSTC) is to define the terms and conditions under which the User may:</p> <ul> <li> <p>Order <em>via</em> the Application or the Website, in the O'TACOS Restaurant of your choice, the products referenced on the Application or the Website, and withdraw your order in the selected Restaurant,</p> </li> <li> <p>On the occasion of an Order via the Application or the Website or the withdrawal of an order in the Selected Restaurant, benefit from Reward(s), under the O'TACOS Loyalty Program.</p> </li> </ul> <p>Transactions made <em>via </em>the Application, or the Website are concluded directly between the User and the legal person operating the Restaurant chosen by the latter. These GSTC therefore link the User to O'TACOS in terms of the use of the Application or the Website, and the User to the legal person operating the O'TACOS Restaurant that he/she has selected as part of each new Order in terms of the execution of the Order and the possible implementation of the O'TACOS Loyalty Program.</p> <p>O'TACOS is by no means the seller of products ordered by the User <em>via</em> the Application or the Website.</p> <p>The User states that he/she became aware of and accepted these GSTC before using the Click and Collect Service and/or the O'TACOS Loyalty Program.</p> <p>O'TACOS may change these GTCs at any time. In all cases, the applicable GSTC shall be those appearing on the Application or the Website at the date of the Order by the User.</p> <p>The current version of the GSTC is permanently available on the Application and the Website.</p> <p>These GSTC are completed by the GTC of the Click and Collect Service and those of the O'TACOS Loyalty Program, depending on the User's choice, which are the subject of separate documents that the User must also study and accept before the first use of the above services.</p> <h2><strong>ARTICLE 2 - DEFINITIONS</strong></h2> <p><a name="_Hlk64279367"></a> "Application": <em>refers to the program that can be downloaded by the User from a smartphone or tablet and from which the User can:</em></p> <ul> <li> <p><em>Order from the O'TACOS Restaurant of his/her choice the products offered to him/her via the Application or the Website, before going to withdraw his/her order in the selected restaurant, for consumption on site or to take</em>away.</p> </li> </ul> <ul> <li> <p><em>Access the O'TACOS Loyalty Program and earn O'TACOS loyalty points on every order made through the Application or the Website or in Restaurants; these points entitling him/her to Rewards, under the terms of the GTCUs "PRINCIPAL SERVICES ACCESSIBLE VIA APPLICATION AND THE WEBSITE."</em></p> </li> <li> <p><em>After accepting the opt-in for commercial communications, you can request to receive O'Tacos promotional offers by e-mail and push notification.</em></p> </li> </ul> <p>"Order" means the<em> user ordering, via the Application and the Website, in the O'TACOS Restaurant of his/her choice, the products of his/her choice from the product offer offered on the Application, before coming to withdraw his/her order himself/herself in the selected restaurant, for consumption on the spot or to take away.</em></p> <p><em>"Promotion </em>code» refers to<em> the discount that the User can select on the Application or the Website and see applied to an Order made on the Application or the Website, when such a discount is offered to him/her, to the promotional operation concerned.</em></p> <p><em>"Coupon</em>": <em>refers to the commercial advantage resulting in a free or discounted product offer, which the User can select from the Application or the Website or use during a checkout at a Restaurant using a QR-code, when such a benefit will be offered to him/her, and to claim at the checkout, under the conditions and according to the terms defined on the Application or the Website, in the context of an Order made via the latter, if and only if the User has accepted the GTCU relating to Click & Collect.</em></p> <p>"O'TACOS Loyalty<em> Program”: </em> <em>means the service allowing Users to benefit from a student menu under the conditions described in the article: "MAIN SERVICES ACCESSIBLE THROUGH THE APPLICATION AND THE WEBSITE" of the GTCU and to accumulate directly with each Order:</em></p> <ul> <li> <p>via the Click and <em>Collect</em> <em>Service if he has consented to the general conditions of use relating to it; </em></p> </li> <li> <p>or to<em> each order </em>in Restaurants <em>(at checkout, if necessary, via order terminals or drive-in service, excluding delivery services), via the Application</em> or the Website using a QR CODE<em>,</em></p> </li> </ul> <p><em>loyalty points</em> and to benefit from<em> Rewards, </em>under<em> the conditions</em> <em>defined at the CGU.</em><em> The O'TACOS Loyalty Program is reserved for users aged 15 and over in France, users aged 13 and over in </em>Belgium<em> and Spain, Users 14 and over in Italy, </em>Users<em> 16 and over in </em>Luxembourg<em>, the Netherlands</em> <em>and Germany.</em></p> <p>"QR Code":<em> means:</em></p> <ul> <li> <p><em>As part of the use of the O'TACOS Loyalty Program, the barcode with a unique identification number specific to each User, reproduced in the Application and on the receipts published as a result of each user's order, or on the "My Profile" page in the QR Code tab when the User places an order via the Website, which the User must present at the checkout to accumulate loyalty points on any order made in Restaurant, </em></p> </li> <li> <p><em>As part of the use of the Click and Collect Service, the barcode associated with any Coupon </em>is <em>made available to the User via the Application or the Website,</em></p> </li> <li> <p><a name="_Hlk65571704"></a> <em>As part of the O'TACOS Loyalty Program, the barcode associated with possible Rewards.</em></p> </li> </ul> <p>“<em>Reward:</em><em>” refers to the free products or products that can be redeemed for loyalty points, in accordance with the terms and conditions of the CGU's "VIA APPLICATIO</em>N OR THE WEBSITE" articles.</p> <p>"Restaurant(s)": refers <em>to the O'TACOS restaurant or restaurants that are listed on the Application. O'TACOS-branded restaurants are operated by independent merchants </em><em>affiliated with the O'TACOS network.</em><em> Some of the restaurants in the O'TACOS network are not listed on the App.</em></p> <p>"Participating Restaurant(s)":<em> refers to the Restaurant(s) participating in the commercial operations deployed by O'TACOS on the Application, which may result in the provision to Users of Coupon(s) and/or Promo Codes.</em></p> <p>"Click and Collect Service": <em>refers to the service accessible via the App or the Website and allowing users to order online, in the </em><em>O'TACOS Restaurant of their choice, the products offered to them via the Application or the Website, and to withdraw their order directly within selected Restaurant, for consumption on-site or take-out.</em> <em>The Click and Collect Service is reserved for users aged 15 and over in France, users aged 13 and over in </em>Belgium<em> and Spain, Users 14 and over in Italy, </em>Users<em> 16 and over in </em>Luxembourg<em>, the Netherlands</em> <em>and Germany.</em></p> <p>"User": Any<em> person or Entity using the Application or the Website.</em></p> <p>“Website”: <em>means the "ORDER" tab of the Website accessible via the address: https://o-tacos.com/en/, from a computer, a smartphone or a tablet and from which the User can:</em></p> <p><em>- After accepting the GTC relating to Click and Collect, order from the O'TACOS Restaurant of his/her choice the products offered to him/her via the Website, before picking up his/her Order in the selected Restaurant, for consumption on the spot or to take away.</em></p> <p><em>- After accepting the Terms and Conditions relating to the loyalty program, access the O'TACOS Loyalty Program and accumulate O'TACOS loyalty points for each order made via the Website or in Restaurants; these points entitle him/her to Rewards, which he/she may be awarded under the conditions set </em><em>out in the article "MAIN SERVICES ACCESSIBLE VIA THE APPLICATION AND THE WEBSITE".</em></p> <p><em>- After accepting the opt-in for commercial communications, request to receive personalized O'Tacos promotional offers by e-mail.</em></p> <h2><strong>ARTICLE 3 - ORDER MODALITIES</strong></h2> <p>3.1 Ordering</p> <p><a name="_Hlk36477421"></a> To order online, <em>via</em> the App or the Website, in the O’TACOS Restaurant of your choice, the User must follow the following steps:</p> <ul> <li> <p>Before the first order, download the App or visit the Website on his/her smartphone or tablet and create a personal account on the App or the Website, including your email address or <em>his/her</em> <em>Apple</em> or <em>Facebook</em> account, or, for any other order, go to and log on to the App by providing his/her username and password or <em>via</em> his/her <em>Google,</em> <em>Apple </em>or<em> </em><em>Facebook</em> account;</p> </li> <li> <p>Select the Restaurant where he/she wishes to withdraw his/her Order. The User can search the O'TACOS Restaurant of his/her choice in the App's or Website’s accessible search bar. At the same time, the Application or the Website informs the Restaurants from which the User has made his/her last orders, in addition to a geolocation system if the User has consented, the Restaurants located near the User. By clicking on the insert reserved for a restaurant, the User has access to several information about it, including its opening hours. If he/she wishes, as part of his/her Order, to use a Coupon or a Promotion Code, he/she will have to make sure, when choosing the Restaurant, that the Restaurant selected is a Participating Restaurant. The User confirms his/her choice for a particular Restaurant by clicking, at the bottom of the selected Restaurant page, on the “Dine In” or “Take Away” button;</p> </li> <li> <p>Select the size of the desired <em>O’Tacos, the</em> desired meats, and any supplements and/or complementary products (<em>fingerfood</em><em>, </em>drinks, desserts, etc.) desired;</p> </li> <li> <p>Log in if the User already has a personal account or create a personal account on the Application or the Website by entering his/her e-mail address or his/her identities via his/her Google or Facebook account. At this stage this step is necessary for the validation of the order.</p> </li> <li> <p>Before validating his/her order, enter the chosen promo code in the Application or the Website;</p> </li> <li> <p>Validate his/her Order after checking the summary;</p> </li> <li> <p>Choose the payment method: online, through the available payment methods (Apple Pay, VISA, MASTERCARD or AMEX) or directly in cash or by restaurant ticket at the front counter of the selected Restaurant;</p> </li> <li> <p>Make the online payment of his/her Order after having chosen the desired method of payment among those available (Apple Pay, VISA, MASTERCARD or AMEX bank cards). After validation of the payment, the User is, if the payment is accepted, informed via the Application or the Website, of the receipt of the payment by MOLLIE, the payment service provider referenced by O'TACOS to receive payments made via the Application or the Website;</p> </li> <li> <p>Be redirected to a page confirming his/her Order and displaying a "I'm here, prepare my order" button.</p> </li> </ul> <p>3.2.1 Preparation - Withdrawal of Order paid online</p> <p>When payment has already been made via the Application or the Website, it is only when the User has clicked on the "<em>I'm here, prepare my order</em>" button that the Order will be transmitted to the Restaurant selected by the User on the Application or the Website, for preparation. In the meantime, the Order remains accessible on the Application or the Website, in the "<em>My Orders</em>" tab. The User must wait until he/she is in the Restaurant he/she has selected on the Application or the Website before clicking on the "<em>I'm here, prepare my order</em>" button.</p> <p>After clicking on the "<em>I'm here, prepare my order</em>" button, the User will be given, via the Application or the Website, an order number.</p> <p>Once the User's Order is ready, the User will be informed by a notification that he/she will receive via the App or via a screen in the Restaurant room if he/she placed the order via the Website. When the User goes to the counter of the Restaurant, he/she has selected, the ordered products will be given to the User after verification of his/her order number.</p> <p>If the User clicks on the "<em>I'm here, prepare my order</em>" button before arriving at the Restaurant he/she has selected, he/she is exposed to the fact that the ordered products will be given to him/her at the counter of the Restaurant. In this case, the products will not be taken back by the Restaurant, and the User will not be able to cancel his/her Order or obtain any refund. Any loyalty points collected and/or Rewards selected via the Application, or the Website will not be credited back to the User via the Application or the Website.</p> <p>If the User arrives at the selected Restaurant more than 45 minutes after receiving a notification via the Application that the Order is ready, the products ordered, which have become unfit for consumption, will not be delivered to the User, who will not be able to cancel the Order or obtain any refund whatsoever. If the User has placed his/her Order via the Website and within 45 minutes of the mention of "READY" reproduced on the screen installed in the room of the selected Restaurant, the User does not pick up his/her Order, the products ordered, which have become unfit for consumption, will not be given to the User who will not be able to cancel his/her Order or obtain any refund whatsoever. Any loyalty points collected and/or Rewards selected will not be credited back to the User via the Application.</p> <p>If more than 45 minutes elapse between the time User clicks on the "I'm here, prepare my order" button while in the Restaurant he/she selected and the time he receives the notification via the Application that his/her Order is ready, the price of the Order will be refunded in cash to User by the Restaurant. Any loyalty points and/or Rewards selected will not be credited back to the User via the Application.</p> <p>If the User wishes to pay in cash or in restaurant vouchers, the preparation of the Order will only start once the User has paid for the Order at the cash desk of the Restaurant he/she has selected. The User's Order will not be prepared until payment has been made at the cashier of the selected Restaurant.</p> <p>Once the Order has been paid for, it will be assigned an order number, which will be displayed on a screen in the Restaurant, allowing the User to track the status of his/her Order while waiting in the dining room.</p> <p>It is the User's responsibility to follow the progress of the preparation of his/her Order, and to retrieve it once it is ready.</p> <p>If the products ordered are not collected by the User 45 minutes after their preparation, as they have become unfit for consumption, they will not be given to the User, who will not be able to cancel his/her Order or obtain any refund whatsoever. Any loyalty points collected and/or Rewards selected will be credited to the User via the Application.</p> <p>The User may, in any case, at the time of withdrawal of his/her order, if he/she has enough points, request the Reward associated with the loyalty points accumulated, under the conditions and according to the terms defined in the GCU.</p> <p>3.2.2 Preparation - Procedure for collecting the Order paid for in cash in a Restaurant.</p> <p>If the User wishes to pay in cash or with a meal ticket in a Restaurant, the preparation of the Order shall not begin until the User has paid for the Order at the cash desk of the selected Restaurant. The User's Order will not be prepared until payment has been made at the cash register of the selected Restaurant.</p> <p>Once the Order has been paid for, it will be assigned an order number, which will be displayed on a screen in the Restaurant, allowing the User to track the status of his/her Order while waiting in the dining room.</p> <p>It is the User's responsibility to follow the progress of the preparation of his/her Order, and to retrieve it once it is ready.</p> <p>If the products ordered are not collected by the User 45 minutes after their preparation, as they have become unfit for consumption, they will not be given to the User, who will not be able to cancel his/her Order or obtain any refund whatsoever. Any loyalty points collected and/or Rewards selected will be credited to the User via the Application or the Website.</p> <p>The User may, in any case, at the time of withdrawal of his/her order, if he/she has a sufficient number of points, request the Reward associated with the loyalty points collected, under the conditions and according to the terms defined in the GCU.</p> <p><a name="_Hlk66353737"></a> 3.3 Consequence of lack of validation or withdrawal before the Restaurant closes</p> <p>The User must click the "I'm here, prepare my order" button and withdraw his/her Order from the Selected Restaurant on the same day as it is validated on the Application or the Website before the closing time of the Restaurant, he/she has selected.</p> <p>It is therefore up to User to check the closing times of the Restaurant that he/she has selected as part of the ordering.</p> <p>The opening hours of the Restaurant where the User wishes to withdraw his/her Order are informed on the Application.</p> <p><a name="_Hlk66353794"></a> Any paid order for which the User has not clicked the "I'm here, prepare my order" button will be refunded to the User the day after it is validated, before three (3) a.m. Any loyalty points and/or selected rewards will be recredited through the Application or the Website.</p> <p>3.4 Order Cancellation</p> <p>Under Article L 121-20-2 3 of the Consumer Code, the applicable right of withdrawal for distance selling cannot be exercised in the case of the supply of goods which, by their nature, are likely to deteriorate or perish rapidly.</p> <p>Any Order validated on the Application or the Website and followed by a click on the "I'm here, prepare my order" button is firm and final; the exercise of the right of retraction is excluded.</p> <p>Orders that have been definitively validated, paid for and withdrawn are not cancellable.</p> <p>No withdrawn product can be taken back or exchanged.</p> <h2><strong>ITEM 4 - PRICES AND PRODUCTS</strong></h2> <p>4.1 Prices</p> <p>Prices as they appear on the Application or the Website are shown in euros, and all taxes included, including VAT applicable on the day of the order.</p> <p>Prices can be changed by the Restaurant at any time, but it is specified that the price on the Order Day Application and the Website will be the only applicable.</p> <p>4.2 Products</p> <p>The product offering on the Application and the Website is subject to change at any time, without notice.</p> <p>When a User wants to benefit from a student menu in a participating Restaurant, the User must justify his or her status as a student by uploading a photo of his or her valid student card via the Application. This status is only recognized for Users between the ages of 13 and 25, and after verification of the validity of the student card by O'TACOS within 24 hours. The student menu is valid only within the framework of the O'TACOS Loyalty Program and within the limit of one menu per day per person.</p> <p>The products in the Application and the Website catalogue at the time of Order, including those on the student menu, are those that are available in the Restaurant selected by the User, but within the limits of available stocks.</p> <p>As the inventory status of each restaurant is updated in real time, a product offered in a Restaurant at the validation stage of the Order is in principle available at the time of its preparation which, as a reminder, only intervenes from the moment the User clicks the button "I'm here, prepare my order". However, one or more products may be made unavailable after the Order has been validated. In this case, the User will be informed at the latest when he/he arrives at the Restaurant. He/She will be offered an alternative or cancellation of his/her Order. If the User chooses to cancel the Order, the order amount will be refunded.</p> <p>Photos of the products are provided as an illustration and do not contractually engage O'TACOS or Restaurants.</p> <h2><strong>ARTICLE 5 - PERSONAL GIVING</strong></h2> <p>When creating its personal account on the Application or the Website, and as part of the user's use of the Application or the Website, O'TACOS and its providers collect and process information that constitutes some of the personal data.</p> <p>The collection and processing of this personal data is governed by the Personal Data Protection Policy, which is accessible on the Application or the Website, and is an integral part of these T&Cs.</p> <p>The User is responsible for the information he/she discloses and agrees if necessary to keep his/her identifiers (especially the chosen password) strictly confidential to avoid any unauthorized use of his/her account. O'TACOS disclaims any responsibility for the disclosure of incorrect information and/or fraudulent use of the User's account by a third party who has had access to its identifiers.</p> <h2><strong>ARTICLE 6 - CLAIMS - LITIGATION - APPLICABLE LAW</strong></h2> <p>6.1 Claim</p> <p>Any complaints about products withdrawn from Restaurants must be made within a <em>maximum</em> of forty-eight (48) hours after the withdrawal of these products, from the restaurant concerned, by mail, to the address contained on the dematerialized receipt or by e-mail to: info@o-tacos.com. After this time, no questions or claims will be taken into account.</p> <p>The User and the Restaurant concerned by the complaint will then try to find an amicable solution.</p> <p>Any questions or complaints about how the Application or the Website works should be made by mail at: O'TACOS - Marketing Service-CAP SUD - 106 Avenue Marx Dormoy - 92120 MONTROUGE or by email at: <a href="mailto:info@o-tacos.com">info@o-tacos.com</a>.</p> <p>The User and O'TACOS will then try to find an amicable solution.</p> <p>If the User is not satisfied with the response provided by the Restaurant or O'TACOS CORPORATION, or at any time, he/she can submit his/her claim free of charge to mediation. It is a non-binding procedure allowing a professional and a consumer to find an amicable solution to the dispute between them.</p> <p>The consumer mediator under which O'TACOS CORPORATION reports is:</p> <p>Franchise-Consumer Mediation, French Franchise Federation, 29, Boulevard de Courcelles75008 Paris, <a href="http://www.franchise-fff.com/">www.franchise-fff.com</a>.</p> <p>Careful! The admissibility of the referral of the "Franchise-Consumer Mediation" is subject to certain mandatory conditions.
